A and B in the spirit of "mutual benefit" principle by both sides decided to sign the merchants stationed (e-commerce) contract, the specific contents are as follows.
interpretation of nouns
In this Agreement, unless otherwise expressly provided, the following terms shall have the following meanings.
1. E-commerce: refers to the online shopping transaction technical service platform developed by Party B, which is one of Party B's important projects.
2. Online shopping mall usage fee: it is the usage fee for Party A to use Party B's (e-commerce) online shopping mall, which does not include the bank transaction fee and distribution fee involved in online payment.
3. Online payment for goods: refers to the payment for goods generated by the buyer using the online payment system to purchase the goods sold by us.
Contract validity
First, both parties to comply with the terms of the contract, the performance of the contract for one year, there are no violations of the following (such as: uploading sales of illegal and shoddy products, violation of the legitimate rights and interests of consumers, can not provide effective service, etc.), the contract validity period is automatically postponed, the contract continues to be valid (Party B will no longer be charged for the use of the online shopping mall to Party A).
II. Powers and duties of Party A
1, Party A has the right to require Party B to provide stable technical services during the contract period; require Party B to provide technical guidance including online shop technology, product images, price uploads, business philosophy product characteristics of cultural uploads and other services; Party A has the right to use the online shopping mall.
2. Party A shall pay Party B the domain name usage fee of $500 for the online shopping mall in accordance with the provisions in the "(Ocean-buy App) Online Shopping Mall Stationing Agreement" prior to the opening of the service.
3, Party A uses the online shop management system provided by Party B to set up an online shop in the (Ocean-buy App) online shopping mall according to Party B's requirements, upload product pictures, prices and management of commodity information, and need to be reviewed by Party B.
4. Party A shall ensure that its commodity information in the (e-commerce) online shopping mall is legal, true and accurate. If any dispute arises due to problems with the commodity information provided by Party A, Party A shall be responsible for resolving it; if Party B suffers losses, Party A shall be responsible for compensation.
5. Party A is obliged to provide services for the after-sale of the goods sold, including but not limited to reasonable returns and exchanges in accordance with the laws of the country where Party A is located.
6. Party A is obliged to pay Party B 5 per cent of the purchase price of each online transaction as network management fees, which will be used to cover the costs of Party B's network system development and platform technology promotion. Party A guarantees that the retail price of its goods in the online shopping mall of Ocean-buy App will not be higher than the lowest price of the goods sold in the shop, otherwise Party B has the right to refuse to publish or delete the information of the goods.
7, Party A if you need Party B is responsible for all the goods upload, release, management and operation; Party B can provide relevant services for a fee, the service cost can be based on the number of specific goods agreed upon in separate negotiations.
Third, the rights and obligations of Party B
1, Party B is responsible for the construction, maintenance, operation and management of the online shopping mall, for Party A in Party B's online shopping mall to publish commodity information and sales of goods to provide technical advice and the use of the mall video, Party B is not responsible for the release of Party A's online shopping mall goods.
2. Party B is only responsible for providing Party A with the technical services stipulated in this Agreement, and all matters related to the sale of goods (delivery, maintenance, quality assurance, returns and exchanges, etc.) shall be Party A's responsibility.
3, Party B provides a stable online shopping mall for Party A, is responsible for the overall promotion of Party A's online shopping mall, improve the visibility of the mall; free maintenance and management of the online shopping mall platform.
4. Party B has the right to review the commodity information provided by Party A. Party B has the right to request Party A to make modifications, or refuse to publish or delete the information if Party A provides commodity information that does not comply with laws and regulations or Party B has reason to believe that if it is published it will bring negative impact to Party B. If Party A causes losses to Party B, Party A shall be responsible for compensating Party B for all losses.
5. Party B can assist Party A to provide buyers with merchandise delivery services to ensure delivery time and service quality. If Party A and the buyer have disputes due to problems with delivery time and service, Party B will assist in solving the problem; if the loss is caused by the quality of Party A's products, Party A will be responsible for compensating the loss.
6, all generated online payment, buyers are uniformly delivered to the platform of Party B, Party B according to the actual transaction, 7 days a cycle for Party A to pay.
IV. Other matters
1, this contract in duplicate, A, B parties retain a copy, since the two sides signed the effective date, Party A is to become Party B's alliance merchants, to enjoy the promotion and sales of double profits.
2, Party B has the right to terminate the contract for Party A who does not comply with reasonable returns; Party A in Party B's online mall operation in violation of national policies or regulatory authorities, Party B has the right to terminate the contract in advance; Party A's violation of the provisions of this contract, Party B has the right to cancel Party A's right to use the online mall of the Ocean-buy App.
3、For the normal operation of the website, Party B needs to downtime maintenance of the website on a regular or irregular basis; if Party B's performance in this Agreement is affected by the above situation, Party A will understand. Party B shall try its best to minimise the adverse effects caused by this.
4. A party suffering from a force majeure event may temporarily suspend the performance of its obligations under this Agreement until the effects of the force majeure event are eliminated and shall not be liable for breach of contract for this purpose. However, it shall use its best endeavours to overcome the event and mitigate its negative effects.
This contract has both Chinese and English versions, which have the same legal effect. In case of different legal interpretations due to grammatical or other reasons, the legal interpretation of the Chinese version shall prevail, and it is hereby declared.
